Effective Date: January 1, 2025
This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Admetec LTD. (“Company”) regarding the use of the Flamingo desktop application (“Software”) for Windows and Mac. By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.
1. LICENSE GRANT
- Admetec LTD. grants the User a non-exclusive, non-transferable, revocable license to use the Software in accordance with this Agreement.
- The Software is licensed, not sold.
2. RESTRICTIONS
The User shall not:
- Modify, reverse-engineer, decompile, or disassemble the Software.
- Rent, lease, sublicense, or distribute the Software to any third party.
- Remove any proprietary notices, labels, or trademarks from the Software.
- Use the Software for any unlawful or unauthorized purposes.
3. OWNERSHIP
- Admetec LTD. retains all rights, title, and interest in and to the Software, including all intellectual property rights.
- This Agreement does not grant the User any rights to Company trademarks or service marks.
4. UPDATES
- Admetec LTD. may, at its discretion, provide updates, patches, or enhancements to the Software.
- Any such updates will be subject to the terms of this Agreement.
- Some updates may be required for the Software to continue functioning properly.
5. SUPPORT SERVICES
- Admetec LTD. may offer support services for the Software, including technical assistance and troubleshooting.
- Support services are provided at Admetec LTD.’s discretion and may be subject to additional fees.
- The Company does not guarantee resolutions for all issues and may limit support for outdated versions.
6. DISCLAIMER OF WARRANTIES
- The Software is provided “as is” without warranties of any kind, whether express or implied.
- Admetec LTD. does not warrant that the Software will be error-free or uninterrupted.
7. LIMITATION OF LIABILITY
In no event shall Admetec LTD. be liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use the Software.
8. TERMINATION
- This Agreement is effective until terminated.
- Admetec LTD. may terminate this Agreement if the User fails to comply with its terms.
- Upon termination, the User must cease using and delete all copies of the Software.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
10. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes any prior agreements or understandings.
By using the Software, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
